Board Chairman

A board chairman, chairwoman or chairperson presides over meetings of the board of directors. Elected from within the board of directors, the board chairman generally performs the following functions:

  • Presides over board meetings and committee meetings
  • Ensures meetings run smoothly
  • Encourages board consensus when reaching decisions

The role of board chairman is distinct from that of Chief Executive Officer (CEO), and generally may be filled by either executive or non-executive members of the board. However, in some cases CEOs also take on the additional role of board chairman.
