Board Chairman
A board chairman, chairwoman or chairperson presides over meetings of the board of directors. Elected from within the board of directors, the board chairman generally performs the following functions:
Presides over board meetings and committee meetings
Ensures meetings run smoothly
Encourages board consensus when reaching decisions
The role of board chairman is distinct from that of Chief Executive Officer (CEO), and generally may be filled by either executive or non-executive members of the board. However, in some cases CEOs also take on the additional role of board chairman.
